Chapter I General Provisions

The first China Machine Tool Industry Association, English name: CHINA MACHINE TOOL & TOOL BUILDERS' ASSOCIATION, abbreviated CMTBA. This association is a national and industry social organization voluntarily formed by R & D and manufacturing enterprises, scientific research and design units, colleges and social organizations related to China's machine tool industry. It is a non-profit social organization.

The membership distribution and activity area of the Association is the whole country.

Article 2 The purpose of this association is: adhere to the service-oriented, strive to serve members, serve the industry, serve users, and provide services for government decision-making, between the government and industry enterprises, between enterprises in the industry, and between the industry and Users and related industries, domestic and foreign industries and related industry organizations to give full play to the role of ties and bridges to safeguard the overall interests of the industry and the legitimate rights and interests of members, make this will become the main body to provide services, reflect demands, standardize behavior, and contribute to the sustainable development of the machine tool industry.

The Association abides by the Constitution, laws, regulations and national policies, practices the core values of socialism, promotes the spirit of patriotism, abides by social ethics, and consciously strengthens the construction of integrity and self-discipline.

Article 3 The Association adheres to the overall leadership of the Communist Party of China, establishes organizations of the Communist Party of China in accordance with the provisions of the Constitution of the Communist Party of China, carries out party activities, and provides necessary conditions for the activities of party organizations.

The registration management agency of this Association is the Ministry of Civil Affairs, and the party building leading agency is the Party Committee of the State-owned Assets Supervision and Administration Commission of the State Council. The Association accepts the business guidance and supervision and management of the registration management agency, the party building leadership agency, and the relevant industry management department.

Article 4 The person in charge of the Association includes the chairman, vice-chairman and secretary-general.

Article 5 The domicile of the Association shall be located in Beijing. The website of the Association: www.cmtba.org.cn.

 

Chapter II Business Scope

Article 6 Business scope of the Association:

(I) investigate and study the economic operation, technological progress and structural adjustment of the industry, track and study the implementation of current policies, laws and regulations, reflect the demands of members to the government, and provide suggestions and consulting services for the government to formulate industrial policies, development plans, laws and regulations;

(II) carry out industry statistics according to the authorization, analyze and release information on the economic operation of the industry, track and understand the market trends and technological progress trends of the industry at home and abroad, conduct market analysis and prediction, and provide information services for member enterprises and government departments;

According to the requirements of relevant government departments, the (III) shall organize the revision of relevant national standards, industry standards and the standards of the association for the machine tool industry, and organize the implementation, implementation and effect evaluation of various standards;

Entrusted by government departments, relevant institutions and member enterprises, (IV) undertake or participate in the organization and demonstration, consultation and evaluation of relevant scientific and technological projects or topics, and carry out feasibility research and consultation on major investment, transformation, restructuring and other projects in the industry;

(V) the establishment of a "user network", carry out key user liaison work, provide consulting services for user 2's procurement and project bidding, and promote the continuous deepening of long-term cooperation mechanisms with key user areas;

(VI) establish a network of contacts with international organizations and enterprises in the same industry, and carry out various forms of international exchanges and cooperation;

(VII) provide enterprises with consultation on import and export trade policies and market demand, promote the structural adjustment of export products of machine tools and tools, carry out early warning of industrial damage entrusted by relevant government departments, provide technical support for the government to negotiate multilateral and bilateral trade rules and deal with trade frictions, and maintain industrial safety;

(VIII) organize the formulation of industry rules and regulations, establish industry self-discipline mechanisms, regulate industry behavior, promote fair competition among industry enterprises, and safeguard the overall interests of the industry and the legitimate rights and interests of users;

Entrusted by relevant government departments or according to the development needs of the industry, the (IX) organizes domestic and international exhibitions in the industry, organizes exhibitions outside the country (territory), builds a manufacturing exchange and display platform, and creates conditions for enterprises to explore domestic and foreign markets;

(X), with the approval of relevant government departments, carry out commendation activities for advanced member enterprises and advanced individuals; entrusted by relevant departments, participate in the evaluation of industry science and technology progress awards, and promote independent innovation in industry science and technology;

(11) According to the development needs of the industry and the requirements of members, organize and carry out industry technology, personnel training and exchange activities to promote the improvement of the quality of the industry staff;

(12) Carry out industry publicity work, publish and distribute industry newspapers and periodicals, operate and maintain industry websites, WeChat and other new media in accordance with relevant regulations;

(13) Undertake other work entrusted by government departments, relevant institutions and enterprises, and provide other services required by members. 3 Matters within the scope of business that are subject to approval under laws, regulations and rules shall be carried out after approval in accordance with the law.

 

Chapter III Members

Article 7 Members of the Association are unit members.

Article 8 Those who support the articles of association of the Association and meet the following conditions may voluntarily apply to join the Association:

Machine tool R & D, manufacturing and circulation enterprises, scientific research and design units, institutions, social organizations and other relevant units (I) in China that have been registered for more than one year in accordance with the law may apply to become members of the Association;

(II) members should have a certain scale of operation, which should generally be "enterprises above designated size";

(III) members operate in accordance with the law, integrity and self-discipline.

Article 9 The procedure for membership is:

(I) submission of application for membership;

(II) submit relevant certification materials, including: 1. a copy of the business license or other types of legal person registration certificate; 2. the basic information of the enterprise (unit).

(III) be discussed and adopted by a body authorized by the Council or the Standing Council;

Membership cards are (IV) issued and announced by the Council of the Association or its authorized bodies.

Article 10 Members enjoy the following rights:

(I) the right to vote, to be elected and to vote;

(II) the right to know, suggest and supervise the work of the Association;

(III) participate in the activities of the Association and obtain the priority of the service of the Association;

(IV) retreat free.

Article 11 Members shall perform the following obligations:

(I) abide by the articles of association and the provisions of the association;

(II) implement the resolutions of this Council;

(III) pay membership dues in accordance with the provisions;

(IV) safeguard the legitimate rights and interests of the Association;

(V) to reflect the situation and provide relevant information to the Council;

(VI) does not harm the interests or rights of other members of the Association.

Article 12 If a member violates laws, regulations and these Articles of Association, the following sanctions shall be imposed upon the voting of the Council or the Standing Council:

(I) industry notification;

(II) suspension of the exercise of membership rights;

(III) delisted. Article 13 Members shall notify the Council in writing of their withdrawal and return their membership cards.

Article 14 A member shall automatically lose his membership under any of the following circumstances:

Failure to pay membership dues in accordance with regulations for one year of (I);

Not participating in the activities of the Association as required for one year of (II);

the (III) is no longer eligible for membership;

(IV) loss of civil capacity. Article 15 after a member retiring from the association, automatically losing his membership or being removed from the list, his corresponding duties, rights and obligations in the association shall be terminated by himself. Article 16 The Association shall keep a roster of members and record the status of its members. In the event of any change in the membership situation, the membership roster shall be amended in a timely manner and an announcement shall be made to the members.

 

Chapter IV Organization

Section 1 Member Congress Article 17

The member representative assembly is the highest authority of the association, and its functions and powers are:

(I) the formulation and amendment of the articles of association;

(II) determine the work objectives and development plans of the Association;

(III) formulate and revise the methods for the generation of member representatives, directors, executive directors, and persons in charge, and report to the party building leadership for the record;

Election and removal of directors and supervisors by (IV);

(V) the formulation and revision of standards for membership fees;

(VI) consider the work report and financial report of the Council;

(VII) decide on the establishment of honorary posts;

(VIII) review the work report of the board of supervisors;

(IX) determine the change of name;

the (X) determines the termination;

(11) Decide on other major issues.

Article 18 The members' congress shall be held once every five years for every five years. If it is necessary to advance or postpone the term change due to special circumstances, it shall be approved by the board of directors, and shall be submitted to the registration management organ for approval after being examined and approved by the party building leading organ. The maximum extension of the term is not more than 1 year. When the Association convenes a member representative meeting, the member representatives must be notified of the topics of the meeting 15 days in advance. The member representative assembly shall adopt the method of voting on the spot.

Article 19 Upon the proposal of the Council or the representatives of more than one-fifth of the members of the Association, a temporary member representative assembly shall be convened. The temporary member representative assembly shall be presided over by the chairman of the board. If the chairman does not preside or is unable to preside, the proposed board of directors or member representatives shall elect a person in charge of the association to preside.

Article 20 The member representative assembly must be attended by more than 2/3 of the member representatives before it can be convened, and the resolutions can take effect only if the following conditions are met:

The (I) formulates and revises the articles of association and decides to terminate the association, which shall be approved by a vote of more than 2/3 of the representatives of the members present at the meeting;

(II) election of directors, the number of votes of elected directors shall not be less than 1/2 of the representatives of the members present at the meeting; The removal of a director must be approved by more than 1/2 of the representatives of the members present at the meeting;

The (III) of the formulation or revision of the standard of membership fee shall be voted on by secret ballot by more than one-half of the representatives of the members present at the meeting;

(IV) other resolutions must be passed by more than 1/2 of the representatives of the members present.
